Affitech successfully closed directed offering and received gross proceeds in cash of DKK 26.8 million

Summary:
Affitech have closed the directed offering and received gross proceeds in cash
of DKK 26.8 million. The offering consisted of 133,476,364 shares issued
against contribution in kind shares in Affitech Research AS (former Affitech
AS) and 34,366,225 shares issued against cash payment of the market value of
DKK 0.78 per share of DKK 0.50 directed against certain investors who have
precomitted to subscribe for the shares. The issuance of shares has been
registered at the Danish Commerce and Companies' Agency and Affitech's Articles
of Association have been changed accordingly.
The cash offering of 34,366,225 shares was carried out as a private placement
at market price of DKK 0.78 per share of DKK 0.50 without preemptive rights to
the existing shareholders. The subscription period for the shares issued
against cash payment commenced on June 30, 2009 at 9.00 a.m. CET and closed on
July 1, 2009 at 5.00 p.m. CET. Payment was made during the subscription period.

The Offering was not underwritten, but Ferd AS, Arendals Fossekompani ASA,
Braganza AS, Teknoinvest VII KS, Verdane Capital IV TWIN AS, Anchor Secondary 3
Holding AS, Sarsia Life Science Fund AS, Glastad Invest AS, Lene AS, Hans
Bjarne Dahl, John McDougall, Kerstin Maria Hareide, Marike Stassar and Amino AS
had undertaken a binding pre-commitment to the company to subscribe for cash
shares for a total investment of DKK 26.8 million, corresponding to 100% of the
cash offering.

The newly issued shares are expected to be admitted to trading and official
listing on the NASDAQ OMX on July 6, 2009 under the ISIN of the existing
shares.

Combination of Pharmexa and Affitech approved by more than 99.1% of the shareholders in Affitech

Pharmexa A/S - Company Announcement

Following its announcement on 3 March 2009 of the proposed merger of Pharmexa
and Affitech , Pharmexa announces today that it has received confirmation of
the approval of the transaction from more than 99.1 % of the shareholders in
Affitech. In accordance with the conditional merger agreement, this is in
excess of the 98.5% approval required for the transaction to proceed.

Bonesupport gains its second EU product approval

The medical technology company Bonesupport has received EU approval for Cerament™ Bone Void Filler. The product is a ceramic bone substitute primarily used for the treatment of osteoporotic fractures. Bonesupport is now launching an aggressive marketing campaign targeting selected markets within the EU. 


This is Bonesupport's second EU approval within a short space of time. In November 2008 the company was awarded a CE mark within the EU for its key product Cerament™ Spine Support. The product is about to be launched in Germany, Austria and Italy.

Pharmexa and Affitech to combine operations to create a new Antibody Therapeutics Company

Copenhagen and Oslo, 3rd March 2009

Pharmexa A/S and Affitech AS announced today that they have entered into a conditional agreement to merge the two companies by means of a share for share acquisition by Pharmexa A/S of the private Norwegian company, Affitech AS. The purpose of the merger is to transform Pharmexa from a cancer and infectious disease vaccine business into a company focused on the research and development of human antibody therapeutic drugs.

Under the terms of the merger agreement, Pharmexa will offer to acquire 100% of
the outstanding and issued share capital of Affitech AS in exchange for newly issued shares in Pharmexa. On completion of the transaction, Affitech shareholders will own approximately 70% and Pharmexa shareholders 30% of the merged Company. The combined Company will be renamed Affitech A/S and it is the aim to continue the Company's listing on the Nasdaq OMX exchange in Copenhagen. The existing Affitech drug discovery business in Oslo will be renamed Affitech Research AS.
